Terms and pricing are to be determined by the company, and are subject to market conditions.
It is expected that the offering will be underwritten by Morgan Stanley & Co. Incorporated, as book running manager, and UBS Warburg LLC.
The common stock issued will be covered by the company's universal shelf registration statement.
